3. Fees and Payments
You agree to pay all fees associated with the Services as outlined in your estimate or service agreement. Fees are due upon receipt of the invoice unless otherwise specified. Failure to pay fees may result in suspension or termination of Services.
4. Intellectual Property
All materials, including but not limited to written content copywriting, layout designs, media content, and software, provided by Spread SEO LLC are the property of Spread SEO LLC or its licensors and might be used on your website only for as long as the contract remains active. You may not use, reproduce, or distribute these materials to rebuild other online content or websites without prior written consent.
5. Site Attribution
Unless otherwise agreed in writing, Spread SEO LLC retains the right to include a small credit link (e.g., “Website by Spread SEO”), or any of its niche brands, in the footer of any website we design or build. This credit serves as attribution for our work and does not affect your ownership or use of the site. Clients who wish to have this credit removed may do so for an additional fee of $1,000.
6. Confidentiality
We will maintain the confidentiality of any information you provide to us in connection with the Services. Similarly, you agree to keep confidential any proprietary or confidential information provided by Spread SEO LLC.
7. Limitation of Liability
In no event shall Spread SEO LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services. Our total liability for any claim arising out of or relating to the services shall not exceed the fees paid by you for the specific affected itemized service.
8. Termination
Either party may terminate the Services with written notice to the other party. Upon termination, you agree to pay any outstanding fees owed to Spread SEO LLC. Sections 4, 5, and 6 shall survive termination of the Services.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the USA / Florida, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of the Services after the posting of changes constitutes your acceptance of such changes.
11. Entire Agreement
These Terms constitute the entire agreement between you and Spread SEO LLC regarding the Services and supersede all prior agreements and understandings, whether written or oral.
